Taipei, Taiwan — Fusheng Precision (TWSE: 6670) held a board meeting today (10/15) and officially approved a joint investment with its strategic partner, TGVest Capital (via its subsidiary, Top Glory Venture Capital), to acquire a 100% equity stake in Minson Integration, Inc. (hereafter “Minson”) for NT$1.6 billion. Under the agreement, Fusheng Precision will invest NT$1.36 billion for an 85% stake, while TGVest Capital will invest NT$240 million for the remaining 15%.
Minson is a leading OEM/ODM manufacturer of equipment for ice and extreme sports, serving a global clientele of top-tier brands. Through this investment, Fusheng Precision will incorporate winter and non-metallic sports equipment into its portfolio, effectively diversifying its product lines, customer base, and manufacturing capabilities to complete its sports business landscape.
Lee Liang-chen, Chairman of Fusheng Precision, stated that modern consumer demand for sports has evolved from mere health and competition to a holistic lifestyle experience. Minson’s ice and extreme sports equipment, much like Fusheng’s existing golf products, belong to the premium outdoor leisure industry. As global economic standards rise, these sports continue to attract a growing demographic with immense future development potential. Roger Chiang, CEO of Fusheng Precision, added that he was deeply impressed by Minson’s manufacturing technology, production management, and customer relationships. He noted that the two companies share similar business models and complementary core strengths, which will enhance overall competitive advantages and hold multi-faceted strategic significance for future growth.
Expertise in Niche, High-Value Sports Equipment
Minson specializes in the production of ice hockey boots, ski boots, ice skates, motocross boots, extreme sports footwear, and related protective gear. These are niche, high-unit-price, and highly customized products. Minson’s core competency lies in its ability to highly integrate three key technological domains: plastic injection, sewing craftsmanship, and metal stamping. Headquartered in Taipei with an R&D center in Taoyuan, Minson operates six production sites in Thailand and has accumulated decades of manufacturing management experience. With a workforce of over 2,000 employees, Minson maintains close and long-term strategic partnerships with its clients.
Strategic Synergy and Global Resource Allocation
This investment allows Fusheng Precision to cover sports equipment for all four seasons, making its sports business layout more comprehensive. As both companies excel in managing complex production processes for internationally renowned brands with zero customer overlap, the partnership offers high complementarity. The two parties plan to integrate customer resources, technical expertise, and industry knowledge to develop more advanced and broader product solutions.
Furthermore, the addition of Minson’s Thailand facilities provides Fusheng Precision with a crucial manufacturing hub in Southeast Asia, complementing its existing bases in Taiwan, Mainland China, the United States, and Vietnam. This expansion significantly enhances the flexibility and agility of the company’s global production resource allocation.
Note: The completion of this transaction is subject to the fulfillment of conditions precedent as stipulated in the contract. The final purchase price will be adjusted according to the mechanisms agreed upon in the contract.
